EU member states have to transpose the Shareholder Rights Directive (SRD II) into local law by the Summer 2019 and the European Commission has issued draft guidance for consultation on standardized presentation of remuneration reports. Designed to increase transparency and enhance long-term shareholder engagement, the directive includes “say on pay” provisions among others with votes on remuneration policy and remuneration reports. The ultimate effect of these new requirements is yet to be seen.
